Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Jokoor Inc ("Jokoor", "we", "our" or "us"), including Jokoor Pay, Jokoor Books, Jokoor SMS, our customer messaging tools for WhatsApp, our websites and our APIs (collectively, the "Services"). By using the Services you agree to be bound by these Terms and our Privacy Policy.

If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

2. Services Description

Our Services include:

  • Payment collection and processing (Jokoor Pay)
  • Business management and accounting software (Jokoor Books)
  • SMS messaging, campaigns, templates and contact management (Jokoor SMS)
  • Customer messaging over WhatsApp through the WhatsApp Business Platform
  • APIs for integrating these capabilities into your own systems

We may modify, suspend or discontinue any part of the Services at any time, with or without notice.

3. Account Registration and Security

To use the Services you must register an account with accurate, current and complete information. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized access. We are not liable for losses arising from your failure to keep your account secure.

4. Payment Terms

  • Prices are stated in Gambian Dalasi (GMD) unless otherwise specified
  • Payments are processed through secure payment providers
  • Prepaid messaging credits are valid for 6 months from purchase and are non-refundable
  • Subscription fees are billed in advance for the selected billing cycle
  • We may change pricing with notice

You agree to pay all charges at the rates in effect when incurred and to keep a valid payment method on file.

5. Acceptable Use

You agree not to use the Services to:

  • Send spam or messages to recipients who have not given consent
  • Send content that is illegal, harmful, threatening, abusive, defamatory or obscene
  • Impersonate any person or entity or misrepresent your affiliation
  • Interfere with or disrupt the Services or connected networks
  • Violate applicable laws, regulations or industry codes of practice
  • Collect or store personal data about others without their consent
  • Process payments for, or send messages related to, illegal goods or activities

We may monitor content processed through the Services and may suspend or terminate accounts that violate these rules.

6. Messaging Channel Rules

6.1 SMS Sender IDs

  • Use only Sender IDs you are legally authorized to use
  • Comply with Public Utilities Regulatory Authority (PURA) regulations
  • Provide accurate documentation during Sender ID registration
  • Do not impersonate other businesses, individuals or organizations

6.2 WhatsApp Business

  • You must comply with the WhatsApp Business Terms and Meta's commerce and business messaging policies
  • You must own or be authorized to operate the WhatsApp Business account you connect
  • You are responsible for obtaining customer opt-in where required
  • Meta or Jokoor may restrict or revoke WhatsApp messaging capability for policy violations

We may reject or revoke channel registrations that violate these terms or regulations.

7. Data Ownership and Privacy

You retain all rights to the content and business data you process through the Services. You grant us a license to process, transmit and store that content as necessary to provide the Services. We handle personal information in accordance with our Privacy Policy.

8. Intellectual Property

The Services, including all content, features and functionality, are owned by Jokoor Inc and protected by copyright, trademark and other intellectual property laws. These Terms grant you no right, title or interest in the Services or our intellectual property.

9. Limitation of Liability

To the maximum extent permitted by law, Jokoor Inc, its affiliates and their respective officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data, use or goodwill, arising out of or in connection with your use of the Services.

Our total liability for any claim arising out of these Terms or the Services shall not exceed the amount you paid to Jokoor in the 6 months preceding the claim.

10. Indemnification

You agree to indemnify, defend and hold harmless Jokoor Inc, its affiliates and their respective officers, directors, employees and agents from any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of the Services.

11. Termination

We may suspend or terminate your access to all or part of the Services, with or without notice, if we reasonably believe you have violated these Terms. You may close your account at any time by contacting us. On termination your right to use the Services ceases and unused prepaid credits are forfeited.

12. Changes to Terms

We may modify these Terms at any time. For material changes we will provide notice through the Services or by other means. Continued use after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of The Gambia, without regard to conflict of law provisions. You agree to the exclusive jurisdiction of the courts of The Gambia for any disputes.
